This document constitutes a legally binding contractual agreement (the "Terms of Service," "Terms," or "Agreement") entered into by and between Prodicity, an elite online High-Stakes Impact Accelerator and venture studio headquartered in the State of California ("Prodicity," "we," "us," or "our"), and the authorized users of our proprietary digital platform, pedagogical curriculum, and associated educational services. Because the target demographic of the Prodicity educational ecosystem consists exclusively of high school students between the ages of thirteen (13) and eighteen (18) years old, the terms "User," "Student," and "Participant" refer to the minor student actively enrolled in the program. The terms "Parent," "Legal Guardian," and "Sponsor" refer to the individual possessing the legal authority to bind the minor and who provides explicit, verifiable consent for the minor’s participation in the program.
In strict accordance with the Children’s Online Privacy Protection Act (COPPA), the California Consumer Privacy Act (CCPA), and the California Privacy Rights Act (CPRA), minors under the age of eighteen (18) lack the legal capacity to enter into binding financial contracts or data-sharing agreements independently. Therefore, an authorized Parent or Legal Guardian must comprehensively read, understand, and affirmatively agree to these Terms of Service on behalf of the minor User. By executing the payment process, submitting the digital consent forms, and permitting the minor to access the Prodicity platform, the Parent assumes absolute financial, legal, and operational responsibility for the User’s conduct, fee obligations, and data submissions. Access to the Prodicity platform is strictly contingent upon the completion of this verifiable parental consent process.
Prodicity provides a rigorous, intensive venture studio environment and educational accelerator leveraging a proprietary curriculum, elite human mentorship, and a sophisticated "Synthetic Staff" architecture powered by advanced artificial intelligence. The primary pedagogical objective of the platform is to guide Students in conceptualizing, developing, and deploying verifiable real-world assets. These assets may include, but are not limited to, legally established non-profit organizations, operational commercial startups, and formally published academic research papers. Prodicity operates at the intersection of educational technology and venture incubation, requiring a high degree of commitment and academic integrity from its Participants.
Prodicity offers three distinct programmatic tiers tailored to the developmental requirements, academic objectives, and operational bandwidth of our Users. The financial obligations for each tier reflect the extensive resource allocation, human capital, and computational overhead required to operate the accelerator. The current pricing structures are delineated in the table below.

All tuition fees and associated costs are calculated and payable in United States Dollars (USD). Payments must be remitted through our authorized, Payment Card Industry (PCI) compliant third-party payment processors prior to the commencement of the respective cohort or billing cycle. The Parent or Legal Guardian expressly authorizes Prodicity and its designated payment processors to charge the provided payment method for all applicable fees.
Prodicity is committed to identifying and supporting exceptional talent. Accordingly, we periodically extend merit-based or conditionally awarded financial subsidies, heretofore referred to as the "Founding Cohort Scholarship." When awarded, this scholarship substantially reduces the financial burden on the Parent, bringing the Launch Program tuition down to four thousand eight hundred dollars ($4,800) and the Fellowship Program tuition down to two thousand four hundred and fifty dollars ($2,450). The explicit legal condition and contractual exchange of value for this financial reduction is the granting of perpetual marketing and publicity rights to Prodicity.
By voluntarily accepting the Founding Cohort Scholarship, the Student and the Parent hereby grant Prodicity a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, and fully sublicensable right and license to use the Student’s name, image, likeness, final project deliverables, and "Verifiable Magnitude of Impact" (VMI) metrics. Prodicity reserves the right to utilize these assets across all media formats, whether now known or hereafter devised, strictly for the purposes of public case studies, institutional marketing, promotional materials, and programmatic demonstrations.
In consideration for the tuition discount provided via the Founding Cohort Scholarship, the Parent and Student explicitly, knowingly, and voluntarily waive any and all claims arising under California Civil Code Section 3344, or any equivalent right of publicity statute or common law doctrine in other jurisdictions, relating to the commercial use of the Student’s identity, likeness, and venture metrics in the specific context of Prodicity's promotional materials. The Parent acknowledges that this waiver is a material inducement for Prodicity to grant the scholarship reduction.
